SIGMA's Terms and Conditions

The following terms and conditions form part of any contract of sale between the Buyer and SIGMA Equipment, Inc. Any conflicting or additional terms provided by Buyer shall not be accepted without SIGMA's express written consent. Unless otherwise agreed in writing, these specific terms and conditions of sale apply to all sales and offers. For rentals, terms not covered in the Equipment Rental Agreement are subject to these conditions.

Quotations and Acceptance

All quotations are for immediate acceptance and subject to withdrawal, change, or prior sale without notice. Purchase orders are not cancelable. Specifications are approximate and not binding. Unless otherwise stated, quotations are valid for thirty (30) days from the date issued.

Payment Terms

Payment in full is required before shipment via certified funds or wire transfer. Visa, MasterCard, and PayPal are accepted. Down payments are non-refundable, and all sales are final. Cancellations, if accepted by SIGMA, will incur a restocking charge of 25–50% of the sale price. Refunds, when applicable, will be made via wire transfer, ACH, or company check. Checks from non-U.S. banks exceeding $10,000 are not accepted.

Delivery

Delivery dates are approximate and contingent upon payment-in-full. SIGMA is not liable for delays or nonperformance caused by strikes, supplier delays, accidents, fire, buyer-requested changes, or other causes beyond its control. SIGMA is not responsible for any loss of revenue resulting from delayed delivery or installation.

Buyer Responsibility

Unless otherwise agreed in writing, all crating, rigging, disassembly, assembly, freight, installation, service, insurance, and taxes are the Buyer’s responsibility. Unless otherwise stated on SIGMA’s invoice, shipment is F.C.A. Location of Equipment, and risk of loss transfers to Buyer upon delivery to the carrier.

Damage

Claims for transit damage must be made directly with the carrier. Buyer should inspect equipment upon delivery. SIGMA assumes no responsibility for damages occurring during transit.

Disclaimer of Warranties

All equipment is sold "AS IS, WHERE IS, WITH ALL FAULTS" and without return rights. SIGMA makes no warranties, expressed or implied, including merchantability or fitness for a particular purpose, unless otherwise agreed in writing. SIGMA does not guarantee compliance with any safety or insurance regulations, codes, or ordinances.

Indemnification

Buyer is responsible for proper and safe installation and operation of purchased equipment, including making necessary modifications for regulatory compliance. Buyer agrees to defend, indemnify, and hold SIGMA harmless from all claims related to personal injury, death, or property damage arising from equipment use, including failure to comply with applicable laws and standards such as the Occupational Safety and Health Act of 1970.

General

Except for rental equipment subject to separate terms, this document supersedes all prior agreements or representations related to the sale. No changes are binding without written consent from all parties.

Dispute Resolution / Jurisdiction / Jury Trial

Any disputes arising under this Agreement are subject to the jurisdiction and venue of the Vanderburgh Circuit or Superior Court. All parties waive the right to a jury trial for any claims or counterclaims related to this Agreement.
